GOVERNANCE COMPLIANCE

The Canadian Securities Administrators, Governance Policy, requires issuers to make prescribed disclosure regarding their governance practices. The Board has established corporate governance practices which it believes are appropriate for one of Canada's leading transportation and oilfield service companies. These practices substantially meet the requirements of the CSA Disclosure Instrument. The Corporate Governance Policy is summarized each year under the discussion on our Governance Practices contained in our Information Circular.
